Requirements for company formation in Singapore

  1. Shareholders and capital. You can have up to 50 shareholders in your company or you can only be the one. 100% of foreign shareholders are allowed in Singapore. Capital can be increased anytime from 1 Singapore dollar to any amount you want.
  2. Company address. All companies are required to have a local registered address. We can register it for you.
  3. Director and secretary. All companies are required to have 1 local director. As a foreigner, you can also be a director but to become a local, you will need to get an employment pass. Another option is to hire a nominee director if you are not going to relocate to Singapore. We can provide a trustworthy person for complying with government law. Step by step guide for company incorporation in Singapore

Step 1. Company Name 

ACRA name registration Singapore.

Choose the name of your company and send it to us. We will check availability in ACRA (The Accounting and Corporate Regulatory Authority in Singapore). We highly recommend sending 2-3 versions. 

  • The name cannot be the same as another approved operational company in Singapore. 
  • You cannot choose any vulgar or obscene name.
  • No trademarks of other companies and national symbols can be involved. 

The process of registering a company name will take less than one hour. But if you will include words like «Law», «Finance», «School», «Broker», «Bank», it might take a few weeks for ACRA to approve. 

Once the name is approved, within 120 days all documents have to be submitted to ACRA. In case this period is failed, ACRA releases the name and it will be available for other companies to register. 

Step 2. Director and Secretary.

We will provide you the nominee director and company secretary for 1 year. We check all nominee candidates to make sure that he or she were not involved in court cases, not undischarged bankrupt, not subject to a disqualification order under section 34, 35, 36 of the Limited Liability Partnerships Act.

Later on, you can apply for an Employment Pass or Entrepreneur Pass if you like to relocate to Singapore. Or you can extend the partnership with the Nominee Director for next year.

The corporate secretary we also choose carefully. He or she will be in charge of filling annual documents required by law. This role has a lot of responsibilities, requiring special certificates and education.

If the company has one director, he cannot act as a secretary. But if the company has 2 or more directors, one of them can legally act as a company secretary. 

Step 3. Corporate address registration

All Singapore companies are required to have a local registered address. it cannot be just a P.O. box. We can provide you 3 options:

  1. Rent a real office. If your company will operate inside Singapore and you need to hire local employees, this is the best option. Of course it will be a bit costly and another requirement comes with real office — it has to be open at least 5 hours per business day. 
  2. Register the Virtual Office. The fastest and cheapest option for you if you are not going to operate immediately or if you want to have online services or branch. Great features provided by local Virtual Offises as the mail scanes, receptionist and meeting room.
  3. Applying for home office. This is the most longest and cheapest process of registering address for your company. Also it might be rejected by HDB (the Housing Development Board) or  URA (Urban Redevelopment Authority) because the address might not be suitable for business operations.

Step 4. Documents preparation

After submitting all documents in ACRA, they will issue following documents within 30 minutes:

  • Certificate of incorporation with UEN (Unique Entity Number). This E-Certificate will allow you to start business and open a bank account. You can purchase the hard copy in ACRA anytime if needed.
  • Company Extract. The BizProfile with corporate details (Company ID, Address, Shareholders information, Director and Secretary information, Share capital, etc)
